Terms of use

1. Acceptance of terms

By accessing moonshine.software or download.moonshine.software, or by downloading, installing or using Moonshine (together, "the services"), operated by Tridant Inc., a Delaware corporation ("Tridant," "we," "our," or "us"), you agree to be bound by these terms of use ("terms"). If you do not agree to these terms, you may not use the services.

We reserve the right to modify these terms at any time. We will notify you of significant changes by posting a notice on this site. Your continued use of the services after such modifications constitutes your acceptance of the updated terms.

2. Description of the services

Moonshine is projection-mapping software for live shows and installations. It includes:

• Moonshine Server, which runs on your own machine on TouchDesigner or TouchPlayer
• a browser interface served by your Moonshine Server, and a Windows desktop client
• live video preview, warping, masking, playback and output control
• this website, and the download service at download.moonshine.software

3. Licences and activation

Moonshine is licensed, not sold. Downloading it does not grant a licence to use it. You may use Moonshine only under the licence terms that accompany it and the licence agreement or beta programme Tridant has admitted you to. Where those terms conflict with these, they prevail.

You are responsible for:

• keeping your licence keys confidential and using them only on machines you are entitled to activate
• staying within the number of devices your licence allows; you can release a device from the software to move a seat
• all use of the software under your licence

Beta builds are pre-release software. They may be incomplete, may change without notice, and may stop working on a date fixed when they were built.

4. Third-party software

Moonshine runs on TouchDesigner or TouchPlayer, which are products of Derivative Inc. licensed separately under Derivative's own terms. Using Moonshine does not license any Derivative product. Hardware drivers, such as Blackmagic Desktop Video, and the third-party components Moonshine incorporates are governed by their own licences.

5. Acceptable use

You agree not to:

• copy, modify, reverse engineer, decompile, or disassemble the software, except where the law expressly permits it despite this restriction
• circumvent licence activation, seat limits, or the software's privacy protection
• share, resell, or redistribute the software or your licence keys without authorization
• interfere with or disrupt the services or the servers behind them
• attempt to gain unauthorized access to any systems
• violate any applicable laws or regulations, or use the services for any illegal or fraudulent purpose

We reserve the right to revoke licence activations that violate these terms.

6. Intellectual property

Moonshine and all accompanying materials are the proprietary intellectual property of Tridant Inc. The Moonshine name, logo, and branding are trademarks of Tridant Inc. and may not be used without our express written permission.

You retain ownership of your projects, media, and everything you create with Moonshine. They stay on your machines, and we do not receive them.

7. Disclaimer of warranties

The services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• the services will be uninterrupted or error-free
• defects will be corrected
• the services are free of viruses or other harmful components
• the results from using the services will meet your requirements

Moonshine is used in live performance. You are responsible for rehearsing, testing, and keeping a contingency for every show that relies on it.

8. Limitation of liability

To the maximum extent permitted by law, Tridant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• your use or inability to use the services
• any interruption, failure, or cancellation of a show or installation
• any unauthorized access to or use of our servers
• any bugs, viruses, or similar issues transmitted through the services
• any errors or omissions in any content

In no event shall our total liability exceed the amount you paid us, if any, for the use of the services during the twelve (12) months prior to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tridant and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• your access to or use of the services
• your violation of these terms
• your violation of any third-party rights
• your violation of any applicable laws or regulations

10. Termination

We may suspend or terminate your access to the services, including your licence activations, if you breach these terms or the licence terms that accompany the software. Upon termination, your right to use the software ends and you must stop using it on all machines.

11. Governing law

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these terms or the services shall be brought exclusively in the federal or state courts located in California, and you consent to the personal jurisdiction of such courts.

12. Dispute resolution

Before filing a claim against Tridant, you agree to try to resolve the dispute informally by contacting us at support@tridant.io. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Tridant may bring a formal proceeding.

13. Severability

If any provision of these terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

14. Entire agreement

These terms, together with our privacy policy and the licence terms that accompany the software, constitute the entire agreement between you and Tridant regarding the services and supersede all prior agreements and understandings, except any signed licence agreement with Tridant, which prevails where it conflicts with these terms.
